These Terms and Conditions ("Terms") govern your use of the website at transformwebsites.com (the "Website") and the website design and development services (the "Services") provided by Chamelio OÜ, an Estonian limited company (registry code 17103572), trading as TransformWebsites ("we", "us", "our").

By engaging our Services or making a payment to us, you (the "Client") agree to be bound by these Terms.

1. About Us

TransformWebsites is a trading name of Chamelio OÜ, a limited company registered in Estonia. Our registered address is Sepapaja tn 6, 15551 Tallinn, Harju Maakond, Estonia. Our EU VAT number is EE102795462. You can contact us at hello@transformwebsites.com.

2. Services Offered

We design, build, and launch conversion-focused websites for transformation businesses, including retreats, coaches, and colivings. Our Services typically include:

  • Website strategy and conversion-rate-optimisation planning
  • Custom website design (figma or HTML deliverables)
  • Website development on Next.js
  • Search-engine-optimisation foundations
  • Analytics and tracking setup
  • Launch and post-launch support
  • Optional ongoing maintenance under a separate Care Plan

The exact scope of work for each engagement is set out in the proposal or statement of work (the "Project Scope") shared with the Client before commencement.

3. Pricing and Payment

Pricing is communicated to each Client through a written proposal before any work begins. All prices are quoted in Euro (EUR €) and exclude VAT unless otherwise stated. VAT is added where legally required.

Unless otherwise agreed in writing, payment is structured as:

  • Deposit (50%): Payable to confirm the booking and reserve the project slot
  • Final balance (50%): Payable upon launch, before the website goes live on the Client's domain

Accepted payment methods include bank transfer (SEPA), and card payments processed by our payment processor. Payment terms on issued invoices are 14 days unless otherwise agreed. Late payment may attract statutory interest in accordance with Estonian law.

4. Booking and Project Slot

We accept a limited number of projects each month. A project slot is only confirmed once the deposit has been received in cleared funds and the Project Scope has been signed off in writing (including by email).

5. Delivery Timeline

Our standard delivery commitment is 7 business days from the official project kickoff date, provided that the Client supplies all required content, brand assets, and feedback within the agreed timeframes.

If we are late delivering the website past the agreed launch date, and the delay is solely attributable to us, we will issue a credit of EUR €150 per business day of delay, applied against your next invoice or the final balance, capped at the total project value. This is the Client's sole and exclusive remedy for late delivery.

Delays caused by the Client (including late content, late feedback, or scope changes) do not count towards the late-delivery credit and may extend the timeline.

6. Client Responsibilities

You agree to:

  • Provide all necessary content, copy, brand assets, images, and access credentials in a timely manner
  • Provide feedback within agreed review windows (typically 24 to 48 hours per round)
  • Designate a single decision-maker for sign-offs
  • Have the legal right to use any materials you supply (text, images, logos, fonts, etc.)
  • Comply with all applicable laws when operating the website we deliver

7. Scope Changes

Any work outside the agreed Project Scope is treated as a change request and quoted separately. We will not start additional work without your written approval.

8. Intellectual Property

Upon receipt of full payment, the Client owns the final website design and content delivered as part of the Project Scope. We retain ownership of any underlying tools, frameworks, internal templates, and methodologies we use to produce the work.

Third-party assets (such as stock photography, fonts, plugins, or themes) remain subject to their own licence terms. The Client is responsible for renewing any third-party licences that require ongoing payment.

We reserve the right to feature the completed work in our portfolio and marketing materials unless the Client opts out in writing.

9. Cancellation and Refunds

Cancellation and refund terms are set out in our separate Refund & Cancellation Policy, which forms part of these Terms.

10. Hosting, Maintenance, and Care Plan

Hosting is not included in the standard project price unless explicitly stated. Ongoing maintenance, updates, and support are available under a separate Care Plan, billed monthly. Care Plan terms and pricing are agreed in writing at the time of subscription.

11. Liability

To the maximum extent permitted by Estonian law, our total liability to the Client arising out of or in connection with these Terms or the Services shall not exceed the total amount paid by the Client to us under the relevant Project Scope in the twelve (12) months preceding the event giving rise to the claim.

We are not liable for any indirect, incidental, consequential, or special losses, including loss of profits, loss of revenue, loss of business, loss of goodwill, or loss of data.

Nothing in these Terms limits liability that cannot lawfully be limited under Estonian law.

12. Confidentiality

Each party agrees to keep confidential any non-public information shared by the other party in connection with the Services, and to use such information only for the purpose of performing or receiving the Services.

13. Data Protection

Our handling of personal data is described in our Privacy Policy.

14. Force Majeure

Neither party shall be liable for any delay or failure to perform caused by events outside its reasonable control, including (but not limited to) acts of God, natural disasters, government actions, war, terrorism, civil unrest, internet outages, or third-party service failures.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Estonia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia, except that consumers resident in another EU Member State retain the protections of mandatory consumer-protection laws of their country of residence.

16. Changes to These Terms

We may update these Terms from time to time. The version in force at the date of your engagement is the version that applies to your project, unless you and we agree otherwise in writing.
